We are looking at purchasing some nice HP DL585 servers with 4 Dual-Core
64-bit AMD Opteron processors. My question is, how will the Windows OS and
Virtual Server 2005 R2 see this. Will it see it as 4 physical processors or
8. This will determine whether we need enterprise edition for both the OS
and VS software.

Your in luck. Starting with Windows 2003 (as opposed to Windows 2000 where
cores and threats were counted separately), each physical socket is counted
as single CPU. See this link:

If you look in the Performance Monitor, you will probably see 8 CPUs.
However, when it comes to licensing, you need to verify with MS how many CPU
licenses you will need.

I use dozens of these at the office. Windows Server 2003 Standard Edition is
able to use a server with four dual core (or even quad core for that matter)
physical processors.

Windows sees EACH physical processor as two processors, but you are only
licensed for one processor.
