DCPROMO failure

I can't be the only one who has seen this. I'm running W2K3 R2 x64 Std on the
host (which is my DC), and Virtual Server 2005 R2. The virtual server runs
W2K3 R2 x86 Std. When I try to DCPROMO the virtual server, I get the typical
message:

"The operation failed because: The Active Directory Installation Wizard
cannot continue because the forest is not prepared for installing Windows
Server 2003. Use the Adprep command-line tool to prepare both the forest and
the domain. For more information about using the Adprep, see Active Directory
Help. The version of the Active Directory schema of the source forest is not
compatible with the version of Active Directory on this computer. "

The domain is at the 2003 Functional Level, and so adprep (both forest &
domain) exit without making changes. Firewall's off on both host & guest.
Authentication works. Nothing too exotic in the domain policy or any other
configuration parameter that comes to mind.

The benefit of your experience & insight is much appreciated.
