Our company looking a converting our Exchange 2007 Server to a Virtual
Machine for Hyper-V.
Has anyone done this?
I am thinking that I will need to dismount the databases and stop all
the exchange services.
Also a possible issue is that this machine is also our Domain
Controller.

There's already some decent information on Technet regarding virtualizing MS
Exchange 2007. This might be a good starting point for you on that front:

As for having your DC reside on your Exchange server, you're probably
already aware that this is not a MS recommended configuration for obvious
reasons. I would strongly suggest considering breaking out your DC functions
from your Exchange box if you're already planning to go P2V.
