Host and Guest OS Stop Responding (freeze, halt, hang up)

Source: microsoft.public.virtualserver

Message:

Host (2 NICS, 1 (Intel Gigabit dedicate to Guest))
Virtual Server 2005 R2
Windows Server 2003

Guest
Windows Server 2003

When trying to copy a large number of files none of which are larger
than 50 MB, the Guest os indicates it loses network connectivity and
trys to reconnect. (Copying from Guest to Host or any machine).
What's strange is I see this via RDP from Host to the Guest! If I
don't hit cancel, the Guest halts, then the Host halts, and then Ctrl-
Alt-Del eventually will not respond. This requires a power-cycle. If
I do hit cancel the guest os crashes.

I've turned off TCP offloading on both real NICs. Tried copying via
FTP. Any copying across any network stack _eventually_ stops
responding. I've tried recently upgrading the drivers for the Intel
NICs.

I urgently need to get these files copied of the virtual server. Any
ideas?

TIA
