VPC OS Licensing

I am having difficulty getting a clear answer regarding OS licensing (even
from Microsoft). It's clear to me that I need to license the guest VM's OS on
the machine that I create it from, and that there are options for doing so
(other than OEM of course), and this is not a problem.

The question comes in with sharing the virtual hard disk with others. Do I
need to buy them a license for the OS that is part of the Virtual Hard Disk
when I share it with them in order for them to legitimately use it? I need to
burn a VHD (preferrably of XP) to DVD and send it to people outside my
organization (independent contractors). I can't tell whether I need to buy no
OS'es for these DVD's, only enough for the VHD's in use at any one time, or
one for every DVD. Each of these scenarios was the recommended approach at
various points in the conversation from the MS Rep that I spoke to.

Thanks for some pointers in the right direction (even if you have contact
info for MS Licensing lawyers for their final official opinion).
